Соглашение о конфиденциальности (NDA Drafter) is a Claude Code skill that drafts a one-way or mutual non-disclosure agreement from a description of the cooperation, adds clause-by-clause notes and a risk section, and delivers the result as a Word document. Reach for it when you need an NDA ready before talks with a supplier or investor, when the other party has sent their template and you want to spot the dangerous clauses, or when you need to define precisely what counts as confidential before sharing sensitive data. The skill confirms the disclosure direction (one-way or mutual), then collects the essentials in a single pass — purpose, scope of confidential information, confidentiality period, permitted onward disclosure, non-solicitation, and liquidated damages — and builds the document in a fixed article order: definitions, obligations, exceptions, use restrictions, term and survival, return and destruction, liability, IP ownership, governing law, miscellaneous, signature block. All parties, amounts, and timeframes are left as named placeholders. After the body, a Clause Notes section explains each article and flags negotiable terms; a Risk Points section lists 3–6 issues unfavourable to the user's side in the format clause / risk / suggestion. When the user submits the counterparty's draft for review, the skill analyses it item by item instead of creating a new document.
